Here he takes on the Central Pacific Railroad, charging in this derivative suit that the Railroad-- acting through its Directors Stanford, Huntington, and Hopkins-- illegally purchased the capital stock of the California Pacific Railroad Company and then, in an effort to bankrupt it, refused to pay interest due on bonds issued by that company. Cohen was a leader of California's early Jewish community, a prominent attorney, and a railroad promoter. Here he takes on the Town of Alameda and its trustees, who seek to open a road along his land and charge him and abutting landowners with the costs. Cohen claims that Robinson, a trustee, would derive substantial financial benefit from the road. His lobbying and subsequent participation in the trustees' decision is a disqualifying conflict of interest.
